ARTICLE I
NAME
The name of our NON-PROFIT CORPORATION will hereinafter be known as: New Buffalo Sports, Inc.
ARTICLE II
VISION
The vision of the New Buffalo Sports Inc. is to facilitate the physical, mental, and educational growth for our youth playing sports, such as baseball, softball, cheerleading, and football. Additionally, our vision is also bringing recreational fun, education, team discipline, the spirit of competition, and self-worth to all of our youth players in our community.
ARTICLE III
MISSION
We, the New Buffalo Sports Inc., shall provide an organization that services our youth in our service area. We shall concentrate on:

In so doing, we, the New Buffalo Sports Inc., shall also prepare our youth for life by instilling lifelong lessons facilitated by experienced staff, coaches, and volunteers.

ARTICLE IV
PURPOSE
The purpose of the New Buffalo Sports Inc. is to provide an organized structure for recreational activities for the area residents including, but not limited to:

Rocket Football

Cheerleading
Section 1. Non-Profit Purpose
This corporation is organized exclusively for NOT TO PROFIT and for such purposes that qualify this “organization” for the 501 (c) (3) of the Internal Revenue Code status, or the corresponding section of any future federal tax code.
ARTICLE V
PARTICIPATION
Participation in New Buffalo Sports Inc. shall be open to all parents or residents of youth participating in our offered sports.
ARTICLE VI
OFFICERS OF THE BOARD OF DIRECTORS
New Buffalo Sports Inc. shall have offices. These offices include:

The term of an officer shall not exceed a five-year term. Officers, by virtue of their offices, shall be members of the Board of Directors. Officers are not to receive any compensation for their offices and are strictly a volunteer of the New Buffalo Sports Inc. The duties and responsibilities of the officers include the following:
President:

The President shall have such powers as may be reasonably construed as being the Chief Executive Officer of New Buffalo Sports Inc.

Is the chairman and preside over all meetings of the Board of Directors.
-
The President shall be responsible for preparing the agenda for all meetings.
-
The President shall oversee all activities of New Buffalo Sports Inc.
-
The President shall have the executive power to appoint committees, whether temporary or permanent.
-
The President shall be responsible for books, reports, and certificates that are completed as required by law and ensure they are properly kept on file.
-
The President shall be one of the officers that sign the checks or drafts of the New Buffalo Sports Inc
Vice President:-
The Vice President shall, in the absence or inability of the President to perform his or her aforementioned duties and responsibilities, become the “acting President” of New Buffalo Sports Inc.

The Vice President shall act as a liaison to the city and township of New Buffalo.
-
The Vice President shall be one of the officers that sign the checks or drafts of the New Buffalo Sports Inc.
-
The Vice President shall have oversight of the commissioners.
-
The Vice President shall have oversight on all coaches and assistant coaches and shall dispose any issues involving coaches.
Secretary:-
The Secretary shall be responsible for recording the minutes of all meetings of the New Buffalo Sports Inc.

The Secretary shall file any and all certificates required by law.
-
The Secretary shall serve all notices to the Board of Directors, such as meeting announcements, proposed and approved minutes, meeting agendas, etc.
-
The Secretary shall be one of the officers that sign the checks or drafts of the New Buffalo Sports Inc.
-
The Secretary shall communicate to the Board of Directors at any meeting any public correspondences.
-
The Secretary shall ensure the New Buffalo Sports Inc., 501c3 status is up to date and all paperwork associated with the 501c3 status is completed and turned in to the Treasurer. Treasurer:

The Treasurer shall be the collector, custodian, and disburser of all monies belonging to the New Buffalo Sports Inc., and shall be solely responsible for such monies and securities of the New Buffalo Sports Inc.

The Treasurer shall be responsible for depositing all monies at a regular business bank, or trust company.
-
The Treasurer shall report to the Board of Directors all deposits, revenues, account summaries, and year-to-date general funds at all meetings.
-
The Treasurer shall be one of the officers that sign the checks or drafts of the New Buffalo Sports Inc.
-
The Treasurer shall be responsible for all bank deposits.
-
The Treasurer shall oversee the finances of the New Buffalo Sports Board and shall prepare an annual budget to the Board of Directors at its annual meeting.
-
The Treasurer shall be responsible for all federal, state, and local tax (if any) requirements are met, and all paperwork is filed appropriately with the Secretary.
-
The Treasurer shall be responsible for preparing any and all paperwork associated with an audit, should the board want to audit the books.

ARTICLE VII
BOARD OF DIRECTORS
New Buffalo Sports Inc. shall consist of a Board of Directors. The maximum number of directors shall not exceed 15. The minimum number of directors shall not be less than seven. The term of a director shall be a four-year term. The following procedures outline the electorate process of a director:

The members on the Board of Directors, hereinafter known as directors, shall be elected at an annual meeting of the New Buffalo Sports Inc.
-
The Board of Directors shall, each year at the annual meeting, elect officers of the Board of Directors. The Board of Directors has the authority to select officers.
-
In order to establish a quorum, a minimum of four (4) directors need to be present to come to a consensus on organizational business.
-
Any vacancies on the Board of Directors may be filled by nominations by any current director at any regular meeting, or special meeting. The nominee shall put in writing his or her intentions for wanting to serve as a director.
-
Nominations shall be reviewed with the approval by the Board of Directors by majority vote.
-
All Directors shall attend at least 70% of all board meetings, games, activities, or functions.
-
All Directors shall aid the commissioners during their season.
-
The Board of Directors may establish committees as needed from time-to-time.
-
The Board of Directors shall have the authority of vetting and selecting coaches and assistant coaches by majority vote.
-
The Board of Directors shall have the authority of establishing teams for baseball, softball, and football by majority vote.
-
The Board of Directors shall have the authority regarding all tournament play involving players from the New Buffalo Sports Inc., and shall have the authority to approve by majority vote.
-
The Board of Directors shall have the authority to review and approve by majority vote a player from New Buffalo Sports Inc. playing in other communities’ tournaments.
-
The Board of Directors shall have the authority to review, implement, amend, and approve by majority vote all rules pertaining to baseball, softball, and football.
-
The Board of Directors shall have the authority to review, draft, implement, and amend coaching policies and procedures by majority vote.
ARTICLE VIII
REMOVAL OF OFFICERS OR DIRECTORS
Any member, by submitting a petition signed by at least 75% of the Board of Directors, may call for a vote on the resignation or removal of any officer or director of the New Buffalo Sports Inc. The petition must be approved and certified by the President at any general meeting for a vote of removal.
Such a vote shall take place at any general meeting provided a 15-day written notice is given to the director or officer who is subject to a vote on removal by the Secretary or President of the organization. An officer, or director will be removed from office or from the Board of Directors upon a two-thirds (2/3) vote of the qualified voting membership present at any general meeting, provided a quorum has been established.
ARTICLE IX
RESIGNATION OF OFFICER OR DIRECTOR
An officer or director may voluntarily resign given notice to the Board of Directors. All written notices of resignation will be treated as irrevocable.
ARTICLE X
COMMISSIONER OF BASEBALL
New Buffalo Sports Inc. may select a Commissioner of Baseball within the Board of Directors. The Commissioner of Baseball shall have the following duties and responsibilities:

The Baseball Commissioner may recruit other board members or parents to aid him or her with the baseball season.
-
The Baseball Commissioner shall be responsible for meeting with other communities to plan and come to consensuses on baseball rules, scheduling, umpires, etc.
-
The Baseball Commissioner is also responsible for the city of New Buffalo Baseball Fields, currently located at Oselka Park, in the city of New Buffalo, and acts as a liaison to the city of New Buffalo concerning said fields.
-
Furthermore, the Baseball Commissioner acts as a liaison with the New Buffalo School District insofar as utilizing the gymnasium(s) and High School Baseball Field.
-
The Baseball Commissioner is responsible for all baseball inventory and reports any deficiencies or damages of any inventory to the Board of Directors.
-
The Baseball Commissioner shall handle issues involving coaches and make any recommendations thereto the Vice President for a disposition.
-
The Baseball Commissioner is a member of the New Buffalo Sports Inc. Board of Directors and reports to the Board of Directors at all meetings.
ARTICLE XI
COMMISSIONER OF SOFTBALL
New Buffalo Sports Inc. may select a Commissioner of Softball within the Board of Directors. The Commissioner of Softball shall have the following duties and responsibilities:

The Softball Commissioner may recruit other board members or parents to aid him or her with the softball season.

The Softball Commissioner shall be responsible for meeting with other communities to plan and come to consensuses on softball rules, scheduling, umpires, etc.
-
The Softball Commissioner is also responsible for the New Buffalo School District Softball Fields, and acts as a liaison to the New Buffalo School District concerning said fields.
-
The Softball Commissioner is responsible for all Softball inventory and reports any deficiencies or damages of any inventory.
-
The Softball Commissioner shall handle issues involving coaches and make any recommendations thereto the Vice President for a disposition.
-
The Softball Commissioner is a member of the New Buffalo Sports Inc. Board of Directors and reports to the Board of Directors at all meetings.
ARTICLE XII
COMMISSIONER OF FOOTBALL
New Buffalo Sports Inc. may select a Commissioner of Football within the Board of Directors. The Commissioner of Football shall have the following duties and responsibilities:

The Football Commissioner may recruit other board members or parents to aid him or her with the football season.

The Football Commissioner shall be responsible for meeting with other communities to plan and come to consensuses on football rules, scheduling, refs, etc.
-
The Football Commissioner is also responsible for the New Buffalo School District Football Field, and acts as a liaison to the New Buffalo School District concerning said field.
-
The Football Commissioner is responsible for all football inventory and reports any deficiencies or damages of any inventory.
-
The Football Commissioner shall handle issues involving coaches and make any recommendations thereto the Vice President for a disposition.
-
The Football Commissioner is a member of the New Buffalo Sports Inc. Board of Directors and reports to the Board of Directors at all meetings.
ARTICLE XIII
COMMISSIONER OF CHEERLEADING
New Buffalo Sports Inc. may select a Commissioner of Cheerleading within the Board of Directors. The Commissioner of Cheerleading shall have the following duties and responsibilities:

The Cheerleading Commissioner may recruit other board members or parents to aid him or her with the football season.
-
The Cheerleading Commissioner is responsible for all cheerleading inventory and reports any deficiencies or damages of any inventory to the Board of Directors.
-
The Cheerleading Commissioner shall handle issues involving coaches and make any recommendations thereto the Vice President for a disposition.
-
The Cheerleading Commissioner is a member of the New Buffalo Sports Inc. Board of Directors and reports to the Board of Directors at all meetings.
ARTICLE XIV
GOVERNING POWERS
The Board of Directors for New Buffalo Sports Inc. shall be vested with the governing powers of this organization.
ARTICLE XV
BOARD OF DIRECTORS MEETINGS
The Board of Directors shall organize an annual meeting each calendar year. This annual meeting shall take place in the month of January, which is the same month for the organization’s fiscal year beginning. During this annual meeting, officers are selected, voted upon, and the Board of Directors approves the fiscal budget.
The Board of Directors shall meet monthly to discuss organizational business. The monthly meeting shall take place within the first week of the month, unless the Board of Directors agrees to move the monthly meeting to another date.
ARTICLE XVI
LOCATION OF MEETINGS
The location of meetings shall be held in a place designated by the President of the organization.
ARTICLE XVII
SPECIAL MEETINGS
Special meetings may be called by the President. At least five (5) directors, including the President and Secretary shall establish a quorum for voting purposes.
ARTICLE XVIII
FINANCES
The fiscal year of the organization shall be from January 1st through December 31st. The Board of Directors shall have the responsibility of securing funds necessary to carry out the purpose of the organization on an annual basis. The Board of Director’s shall discuss, review, and vote on authorizing the establishment of a bank and banking accounts for money received, receipts, expenditures, deposits, and revenues by this organization.
The Treasurer shall call a budget workshop no later than November 1st, with not more than three directors to act as an advisory committee to the Board of Directors insofar as evaluating and coming up with an annual balanced budget. At the annual meeting, the Treasurer shall present the committee’s budget recommendation to the Board of Directors for a vote on approving the fiscal year budget.
ARTICLE XIX
INSURANCE
The New Buffalo Sports Inc. may purchase and maintain insurance on behalf of any person who is or was a member, director, officer, employee, or agent against any liability asserted against any such person and incurred by any such person in any such capacity or arising out of such person’s status as such, whether or not the non-profit corporation would have the power or obligation to indemnify such person against any such liability under this article.
ARTICLE XX
BOOKS AND RECORDS
The New Buffalo Sports Inc. shall keep complete books and records of accounts and minutes of the proceedings of the Board of Directors.
ARTICLE XXI
AMENDMENT TO BYLAWS
The bylaws or any articles of incorporation, of New Buffalo Sports Inc. may be amended by a majority vote of the Board of Directors at any meeting. All board members must receive a copy of the proposed amendments five-days prior to any meeting.
ARTICLE XXII
DISSOLUTION OF NEW BUFFALO SPORTS INC.
In the event the Board of Directors vote to dissolve this organization or this organization otherwise ceases to function as an active organization, all assets, including real and personal, shall be given to the New Buffalo Area School District without cost.
ADOPTION OF BYLAWS
We, the undersigned, are all of the initial directors or incorporators of this non-profit corporation, and we, consent to, and hereby do, adopt the foregoing Bylaws, consisting of nine (9) preceding pages, as the Bylaws if this non-profit corporation.
